NETWORK CABLE SYSTEM PROGRAM

SCHEDULE A

INTEGRATOR CERTIFICATION

United Power Ltd.,("Company") is hereby certified and thus authorizedbyAlcatel Canada Wire to design and install Network Cable Systems utilizing Alcatel Canada Wire Network Cable Systems Products and support the Alcatel Canada Wire Network Cable Systems Performance Assurance Program.

The basis for certification is completion of Training for the Alcatel Canada Wire Network Cable Systems Program.

Company has agreed to adhere to all Guidelines published by Alcatel Canada Wire consisting of the Installation Practices and Authorized Connecting Hardware Manufacturers Listing, in the design and installation of Network Cable Systems.

Systems designed and installed in accordance with the Guidelines and Registered with Alcatel Canada Wire by an Authorized Network Cable Systems Integrator are covered by the Guaranties of the Alcatel Canada Wire Network Cable Systems Applications Assurance and Extended Warranty.

Network Cable System Applications Assurance

Alcatel Canada Wire offers a guaranty that Network Cable Systems Products installed by an Authorized Network Cable Systems Integrator, properly constructed from acceptable components and meeting link performance limits, all in accordance with TIA/EIA-568A, will support any current or future application supporting transmission over an T1A/EIA-568A compliant premises network link.

Network Cable Systems Extended Warranty

Alcatel Canada Wire offers a guaranty that its Network Cable Systems Products installed by an Authorized Network Cable Systems Integrator will, for a period of fifteen (15) years, be free from defects in material and workmanship.

The specific terms and conditions of the Application Assurance and Extended Warranty are set forth in the Atcatel Canada Wire, Inc. Network Cable Systems Integrator Certification Program Agreement.
